01About Carnies

Carnies.dev (the “Site”) is operated by Carnies Online Seller, a Sole Establishment registered in Dubai with the Department of Economy and Tourism under E-Trader License No. 1626932 (“Carnies”, “we”, “us”). Our licensed commercial activity is exclusively “Online Seller” — the sale of finished digital products.

Our catalogue is limited to ready-to-deploy digital products: SaaS subscriptions, downloadable code (UI components, hooks, scripts), Notion and Figma templates, browser extensions, and standalone mobile applications.

02Acceptance of these Terms

By visiting the Site, joining our launch list, or completing a purchase, you agree to these Terms of Service (“Terms”). If you do not agree, please discontinue use of the Site and do not purchase our products.

03Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract to make a purchase. If you are buying on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

04Our Products

Each product page sets out the product description, the licence granted (Personal, Team, Commercial, MIT, or other), the version, and the price. All prices are quoted in UAE Dirham (AED); other currencies may be displayed and charged at checkout via our payment processor.

Because we operate under a Dubai DET Online Seller licence, all products are delivered electronically. We do not hold physical inventory, and we do not ship physical goods.

05Orders, Payment and Invoicing

Payments will be processed by a regulated payment service provider engaged for that purpose. We will name the specific provider here once our merchant account is active. carnies.dev is currently in a pre-launch phase and is not yet processing live payments. We do not store full payment card details, and we will issue an electronic invoice for every completed purchase, in compliance with UAE Federal Law No. 15 of 2020 on Consumer Protection.

An order is accepted only when payment is confirmed by the payment processor and a confirmation email is sent to the buyer. We reserve the right to refuse or cancel an order if we reasonably suspect fraud, sanctions exposure, or material misrepresentation.

06Delivery

Delivery of digital products is electronic and effective on confirmed payment. Downloadable assets become available via a link or an account download page; SaaS access is enabled on the same screen as the purchase confirmation.

If you do not receive your delivery within one hour of a confirmed charge, please contact hello@carnies.dev with your order reference and we will resolve the issue promptly.

07Licences and Permitted Use

The licence stated on the product page is non-exclusive, non-transferable, and limited to the use case described there (for example, “Personal”, “Team”, “Commercial”, or “MIT”). Where the licence is MIT, the terms of the MIT licence prevail for that asset.

Reselling the raw asset as-is, or distributing it in a form that competes with its product page on the Site, is prohibited unless the product page expressly grants resale rights.

08Prohibited Uses

You agree not to: (a) reverse engineer, decompile, or attempt to access the source code of any SaaS platform we operate; (b) use any purchased asset in unlawful, infringing, defamatory, or deceptive content; (c) initiate fraudulent payment activity, including chargebacks made in bad faith; or (d) circumvent technical measures, rate limits, or licence enforcement.

09Intellectual Property

All product assets, source code, designs, trademarks, and documentation made available through the Site remain the intellectual property of Carnies Online Seller or its licensors. The buyer receives only the licence stated at the time of purchase.

Nothing on the Site grants any right to use the Carnies name or logo other than for legitimate reference to the products you have purchased.

10Disclaimers and Statutory Rights

Products are provided “as is” and “as available”, except as required by UAE Federal Law No. 15 of 2020 on Consumer Protection and any other mandatory law applicable to the buyer. We do not warrant that any product will be uninterrupted, error-free, or compatible with every system configuration.

Nothing in these Terms limits or removes any statutory consumer right you may have under UAE law.

11Limitation of Liability

To the maximum extent permitted by law, Carnies' total aggregate liability arising out of or in connection with any product is limited to the amount paid by you for that product in the twelve (12) months preceding the event giving rise to the claim.

We are not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, business interruption, or loss of goodwill, even if advised of the possibility of such damages.

12Indemnification

You agree to indemnify and hold harmless Carnies and its affiliates from any claim, loss, or expense arising out of your use of a product outside the licence granted, your breach of these Terms, or your violation of any applicable law.

13Suspension and Termination

We may suspend or terminate access to a product or account in cases of fraud, misuse, material breach of these Terms, or where required by law. Where access is terminated for reasons other than your breach, we will refund the unused portion of any active subscription in line with our Refund Policy.

14Changes to Products and Pricing

We may update, release new versions of, deprecate, or discontinue products, and we may revise prices going forward. Existing licences remain governed by the licence active at the time of purchase. We will give reasonable notice of material changes to subscription pricing.

15Governing Law and Jurisdiction

These Terms are governed by the federal laws of the United Arab Emirates and the laws applicable in the Emirate of Dubai. Any dispute arising out of or in connection with these Terms is subject to the exclusive jurisdiction of the competent courts of Dubai, without prejudice to any mandatory consumer-protection rights you may have in your country of residence.

16Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. Material changes that affect your existing rights will be communicated by email where we have your address. Continued use of the Site or our products after a change constitutes acceptance of the updated Terms.
